Service Terms & Conditions

By accepting a quote, estimate, or by paying an invoice, you (“Client”) agree to these Terms & Conditions with Sequoia Digital Marketing (“Company”). Please review carefully.

1. Agreement & Engagement

When you engage Sequoia Digital Marketing, you agree that services are provided on an “as is, as available” basis. We do not guarantee uninterrupted service or specific outcomes. The Client assumes all risk for how services perform.

The Company is not liable for lost profits, data, or other damages resulting from service interruptions, website issues, or third-party providers. If any part of this agreement is found unenforceable, the rest remains valid.

2. Scope of Service - Monthly Marketing Plans

Marketing Growth Plans are flexible. Hours may be used for a variety of growth and SEO services, including but not limited to:

  • Setting up accounts and integrations

  • Goal-setting and planning discussions

  • Analytics review and reporting

  • On-page and technical SEO improvements

  • Content creation and web development

  • Backlink strategy and outreach

Initial Setup

At the start of service, the Client will receive a basic plan outlining the general schedule of services. This plan may be refined over time based on data and ongoing discussions.

The Client must provide Sequoia Digital Marketing with necessary account access (e.g., website platform, hosting, Google properties). Delays in providing access may delay service delivery.

Monthly Service & Reporting

  • Work is performed each month based on the current strategy and budget.

  • Clients may schedule discussions to review planning and strategy.

  • A monthly progress report is provided, outlining work completed and site performance.

Payments & Plan Changes

  • Service is billed via monthly recurring invoices.

  • Outstanding invoices must be paid before the next month’s service begins. Otherwise, service may be paused and rescheduled.

  • Clients may cancel service or adjust their monthly budget at any time. Changes take effect the following month.

  • Any completed work not yet paid for will be billed immediately upon cancellation.

3. Work Order Projects

In addition to monthly service plans, some projects are billed as one-time work orders.

  • Payments: Projects enter our work queue only after initial payment is received. Late or missed payments may delay scheduling or result in cancellation.

  • Timeframe: Deadlines are estimates and depend on our current queue, client responsiveness, and timely payments. We are not responsible for delays beyond our control.

4. Communication & Collaboration

Clients may choose how involved they want to be in planning. We encourage participation, but if no feedback is given in a timely manner, we will proceed with our proposed plan.

If we cannot move forward without feedback, services will be paused until a response is received.

5. Search Engine Optimization (SEO) Expectations

SEO is a long-term growth strategy. Results are gradual and cannot be guaranteed, as search engines control crawling, indexing, and ranking.

We only use ethical, “white hat” SEO practices recommended by major search engines. We do not use “black hat” tactics or attempt to manipulate rankings in ways that violate search engine policies.

Algorithm changes may impact website performance positively or negatively. While we will investigate significant changes, recovery is not always possible. Our focus remains on improving user experience and content relevance, which aligns with best practices.

6. Trademarks, Copyrights & Intellectual Property

The Client guarantees ownership or permission to use any text, graphics, photos, trademarks, or other materials provided. The Client agrees to hold Sequoia Digital Marketing harmless from any claims related to these materials.

The Client also agrees that materials created or submitted for publication will not contain abusive, illegal, or unethical content. If such material is detected, the Company may suspend services immediately.

7. Limited Liability

Sequoia Digital Marketing is not liable for:

  • Loss of profits, revenue, or business opportunities

  • Loss of contracts, goodwill, or reputation

  • Data loss or corruption

  • Indirect or consequential damages

Our liability, in any case, is limited to the fees paid by the Client for the specific services in question.

8. Acceptance

By engaging Sequoia Digital Marketing and paying invoices, the Client acknowledges and accepts these Terms & Conditions.
